B2B Terms of Sale
Key points
- For businesses only, not consumers.
- You get a fixed price for a fixed scope, in writing, before we start.
- Anything new gets its own written quote first.
- Payment: upfront, or half to start and half when you approve.
- One round of changes; work counts as approved 5 working days after delivery if you don't reply.
- Once you've paid, you own the work we made for you.
- We don't promise rankings, traffic, leads, revenue or legal compliance.
1. Who these terms are for
These terms apply when a business or organisation buys from us. By ordering, you confirm you are buying for your business, trade or profession, not as a consumer. If you are a consumer, we can't sell to you.
2. Who we are
Zamerio Limited, a private company limited by shares registered in Ireland, company no. 829466, registered office Jervis Place, Capel Street, Dublin 1, D01 EP97, Ireland. Email: hello@zamerio.com.
3. How a contract starts
A contract starts when you sign our proposal or order form, or when you order and pay through our checkout and accept these terms. The proposal or order describes the work (the “scope”), the price, the payment dates and what is not included. If the proposal or order and these terms disagree, the proposal or order wins. Quotes are valid for 30 days.
4. What we do
We deliver the scope in your proposal or order, with reasonable skill and care. Work outside the scope, like online shops, new features or extra pages, needs a separate written quote.
5. Subcontractors
We may use vetted subcontractors to deliver the work. We stay responsible for their work, and they sign confidentiality and ownership terms with us before they start. Where they handle personal data for you, clause 16 applies.
6. What you do
You give us accurate content, decisions and access on time: for example text, photos, an invite to your domain settings or a call where you log in, a test account or a staging copy. We never ask for your passwords. Our time frames start when we have them. You confirm you have the right to give us that content. We don't publish invented facts, claims or reviews.
7. Your materials
You keep ownership of everything you give us: text, photos, logos, data and accounts. You give us a non-exclusive, free licence to use them only to deliver your order, for as long as we work for you. If someone claims your materials infringe their rights, you are responsible for that claim.
8. Prices and VAT
The price is the fixed price in your proposal or order. It does not depend on how you found us. Prices exclude VAT. VAT is added only if Zamerio becomes VAT-registered; if that happens, we tell you before your next invoice. If we change our list prices, your agreed price does not change.
Email protection setup: €390 when your order also includes the Email protection watch for at least 12 months, or when Website care & support is in the same order or already running for you; €590 on its own. Your order form shows which applies.
9. Payment
- Paid upfront: offers marked “Paid when you order”.
- Half and half: 50% when you order; 50% when you approve the work (clause 11).
- Per step: each step is quoted and paid on its own terms; you can stop after any step.
- Website plans: setup and first month when you approve your preview; then monthly.
- Email protection with the watch: the setup and the first month when you order; then monthly.
- Monthly services: billed monthly in advance.
Invoices are due within 14 days. We start work when the first payment clears. If an invoice is unpaid 15 days after its due date, we may pause the work or suspend the service after telling you first.
10. Late payment
If you pay late, we may charge interest and compensation for recovery costs under the European Communities (Late Payment in Commercial Transactions) Regulations 2012 (S.I. No. 580 of 2012): interest at the European Central Bank reference rate plus 8 percentage points, from the due date until you pay, and the fixed compensation for recovery costs that those Regulations set.
11. Changes, approval and acceptance
When we deliver, you get one round of changes within the scope. Then you approve the work, or tell us in writing what doesn't match the agreed scope. If you don't reply within 5 working days of delivery, the work counts as approved. Approval triggers any balance invoice. Requests outside the scope are quoted separately.
Accessibility fixes count as done when the pages in scope show no critical or serious automated findings and pass our manual checklist. One re-test is included.
12. Credits
- Accessibility report: if you order accessibility fixes within 30 days of your report, its price comes off the fix price.
- Software health check and Prototype and fixed-price plan: their price comes off your first build step, as stated in your proposal.
13. Website plans
- Preview first: we build a preview of your site. You pay the setup and first month only when you approve it.
- Live: about 10 working days after we have your content.
- Small changes: each plan includes a number of small changes a month (One Page 2, Local Business 4, Growth 8). A small change is one request that takes up to 30 minutes. Opening and holiday hours never count. Unused changes don't roll over.
- Minimum term: One Page has a 12-month minimum term. Local Business and Growth have none.
- Annual prepay: pay a year upfront and get 2 months free. If you cancel, the plan runs until the end of the prepaid year; we don't refund a year that has started.
- No online shops or own ordering systems; we link the booking and ordering tools you already use.
14. Cancelling monthly services
- Local Business and Growth: cancel any time. The plan runs until the end of the period you've paid; we don't refund the current month or a prepaid year that has started.
- One Page: cancel any time after the minimum term, on the same terms. If you cancel earlier, the months left in the minimum term are still due.
- Website care & support and team extension: 30 days' written notice.
- Website care basic: 30 days' written notice.
- Email protection watch, 12-month minimum (ordered with the €390 setup): the term runs 12 months from your order date. You can tell us at any time that you want to stop; the watch keeps running, and is billed monthly, until the 12 months end, then stops. After that it runs month to month: cancel any time and it stops at the end of the month you've paid for; we don't refund the current month.
- Email protection watch added later: cancel any time; it runs to the end of the month you've paid for.
- When you leave: your domain and accounts stay in your name. On request, we send you your website's files (a static export where technically possible), with no release fee.
15. Ownership
When you have paid in full, you own the work we made for you under your order: designs, content we wrote for you, code and documents. Until then, you may use previews only to review them. We keep our own tools, know-how and reusable parts we had before or build for everyone; you get a permanent, free licence to use them as part of your work. Open-source and third-party parts stay under their own licences.
16. Data protection
Each side is responsible for the personal data it controls. When we process personal data for you (for example, enquiries from your website's form), you are the controller and we are your processor, and our Data Processing Annex applies. We send it with your order form; ask us for a copy at hello@zamerio.com. It sets out what Article 28 of the GDPR requires: we process the data only on your documented instructions, keep it confidential and secure, use subprocessors only with your general authorisation and on equal terms, help you with people's requests and with breaches, delete or return it at the end, and give you the information you need to check this.
17. Our accounts and yours
Domains, hosting and paid services are in your name and on your card, where possible. You invite us as admin or developer. We never hold your card details.
18. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for this contract. This lasts after the contract ends. We show your work as an example only with your written permission.
19. What we don't promise
We don't promise search rankings, traffic, leads, bookings, revenue or review growth. Accessibility work shows where your site stands against the WCAG 2.2 AA standard and fixes what we agreed; it is not legal advice or a certificate, and we never say your site is “compliant”. Email protection helps receivers tell real emails from fakes; we don't control whether any email reaches an inbox. Apart from what these terms and your order say, we give no other warranties, to the extent the law allows.
20. Liability
Our total liability under a contract is limited to the fees you paid under that contract in the 12 months before the claim. We are not liable for indirect loss, or for loss of profit, revenue, data or goodwill. Nothing in these terms limits liability that the law does not allow us to limit.
21. Ending a contract
Either side may end a contract in writing if the other seriously breaks it and doesn't fix it within 14 days of being told. If a project ends early, you pay for the work done and approved up to then.
22. Things outside our control
Neither side is liable for delays caused by events it can't reasonably control, such as outages at major providers. We tell you as soon as we can.
23. Notices
Notices under a contract are sent by email: to us at hello@zamerio.com, to you at the email address in your order. A notice counts as received on the next working day in Ireland after it is sent. Notices of a claim or of ending a contract are also sent by post to the other side's registered office.
24. Changes to these terms
We may update these terms. The version you accepted applies to your order. A new version applies only to new orders.
25. Law and courts
Irish law governs these terms, and the Irish courts decide disputes.
